Terms of Service — RestroOS

1. Scope of Services

These Terms of Service ("Terms") govern your use of RestroOS, a cloud-based restaurant operating system developed and maintained by Innov8alpha ("Company", "we", "us"). By subscribing to any RestroOS license (Pro, Premium, or Elite), you ("Client", "Licensee") agree to these Terms in addition to our General Terms of Service.

RestroOS provides: cloud POS and multi-tax billing, contactless QR-to-POS ordering, ingredient-level inventory tracking, kitchen display system (KDS), aggregator synchronization (Zomato, Swiggy), WhatsApp retention loops, and real-time financial reconciliation.

2. SaaS License Terms

RestroOS is licensed as a Software-as-a-Service (SaaS) product. You receive a non-exclusive, non-transferable, revocable license to use the software for the duration of your active subscription.

The software remains the exclusive intellectual property of Innov8alpha. You may not reverse-engineer, decompile, distribute, sublicense, or create derivative works from RestroOS.

Subscriptions are billed monthly. No long-term contracts are required. Cancel anytime — service continues until the end of the current paid period.

3. POS Hardware Compatibility & Sync

RestroOS is cloud-native and runs on any standard Windows PC, tablet, or iPad. Innov8alpha does not manufacture, sell, or require proprietary hardware. You are never locked into specific hardware vendors.

The Client is responsible for:

  • Procuring compatible hardware (PC/tablet, thermal printer, cash drawer, barcode scanner)
  • Maintaining stable internet connectivity at the point of sale
  • Ensuring hardware meets minimum specifications provided during onboarding
  • Hardware maintenance, replacement, and insurance

Innov8alpha provides integration support for standard POS peripherals (Epson, Star Micronics, and compatible thermal printers). Integration with non-standard or legacy hardware may require custom development at additional cost.

The Pro tier includes an offline-first sync engine. Billing operations continue during internet outages; data synchronizes automatically upon reconnection. Innov8alpha is not liable for data discrepancies arising from extended offline periods exceeding 72 hours.

4. Downtime & Service Availability

Innov8alpha targets 99.9% uptime for RestroOS cloud infrastructure, measured on a monthly basis. This excludes:

  • Scheduled maintenance (performed during 2:00 AM – 5:00 AM IST, communicated 48 hours in advance)
  • Client-side hardware or network failures
  • Third-party aggregator API outages (Zomato, Swiggy)
  • Force majeure events

In the event of unscheduled downtime exceeding 4 continuous hours attributable solely to Innov8alpha infrastructure, the Client is entitled to a pro-rata service credit for the affected period, capped at the equivalent of 7 days of their monthly subscription.

Innov8alpha is not liable for revenue lost during any downtime period, whether scheduled or unscheduled. Restaurant operations are the Client's responsibility; backup billing procedures should be maintained.

5. Data Ownership & Security

All restaurant data — including transaction records, customer databases, inventory data, and financial reports — belongs exclusively to the Client.

Data is encrypted in transit (TLS 1.3) and at rest (AES-256) on enterprise-grade AWS infrastructure. Daily automated backups are maintained with 30-day retention.

Upon subscription termination, the Client may export all data in standard formats (CSV, JSON) within 30 days. After this period, data is permanently deleted from Innov8alpha servers.

6. Aggregator Integration

Premium and Elite licenses include native two-way API synchronization with food delivery aggregators (Zomato, Swiggy). Innov8alpha maintains these integrations in good faith but is not liable for:

  • Changes in aggregator API specifications or deprecations
  • Commission discrepancies identified by the Aggregator Commission Auditor (these are informational and should be validated independently)
  • Order routing errors caused by aggregator-side system issues
  • Aggregator platform outages or delayed order confirmations

7. Payment & Billing

Subscriptions are billed monthly in advance. Indian clients pay via Razorpay. International clients are invoiced via Wise in USD.

Failed payment attempts trigger a 7-day grace period. If payment is not received within the grace period, the account is suspended. Data is retained for 30 days during suspension before permanent deletion.

8. Limitation of Liability

Innov8alpha's total aggregate liability shall not exceed the total subscription fees paid by the Client in the 12 months preceding the claim.

Innov8alpha is not liable for lost revenue, spoiled inventory, customer complaints, regulatory fines, or any indirect or consequential damages arising from system usage or downtime.

9. Governing Law

These Terms are governed by Indian law. Disputes are subject to the exclusive jurisdiction of UP courts.
