Terms of Service — SME Brand Innovation

1. Scope of Services
These Terms of Service ("Terms") govern all SME Brand Innovation retainer engagements between Innov8alpha ("Company", "we", "us") and the client ("you", "Client"). By subscribing to any SME plan (Pro, Premium, or Elite), you agree to these Terms in addition to our General Terms of Service.
SME Brand Innovation services are designed for service-based businesses seeking to modernize operations, strengthen digital presence, and build scalable B2B growth systems. Services include brand identity development, website architecture, CRM deployment, outreach infrastructure, lead capture systems, and strategic advisory.
2. B2B Lead Pipelines & Outreach
Innov8alpha deploys B2B outreach infrastructure including email sequences, LinkedIn outreach campaigns, domain reputation management, and Ideal Customer Profile (ICP) intelligence on behalf of the Client.
The Client acknowledges that:
- Lead generation outcomes depend on the Client's industry, value proposition, pricing, and market conditions
- Innov8alpha does not guarantee specific lead volumes, conversion rates, or meeting bookings
- Domain reputation setup requires a minimum 14–30 day warm-up period during which outreach volumes are intentionally limited
- The Client must comply with applicable anti-spam regulations (IT Act 2000, CAN-SPAM, GDPR as applicable)
All lead data generated through Innov8alpha-managed campaigns belongs exclusively to the Client.
3. CRM Integration & Data
Innov8alpha configures and deploys CRM systems (HubSpot, Zoho, or equivalent) as part of the retainer engagement. The CRM account is owned by and registered to the Client.
Innov8alpha is responsible for initial setup, pipeline architecture, workflow automation, and team training. The Client is responsible for:
- Maintaining the CRM subscription and associated costs (if the CRM platform charges separately)
- Ensuring data accuracy of manually entered records
- Managing user access and permissions post-handover
- Complying with data protection regulations for stored contact information
Upon termination of the retainer, the Client retains full ownership and access to the CRM account and all data contained within.
4. Automation & Workflow Liability
Innov8alpha deploys intelligent workflow automation including WhatsApp routing, meeting scheduling systems, lifecycle automation, and follow-up sequences. These automations are configured to operate within the Client's existing tool ecosystem.
Innov8alpha is not liable for:
- Errors caused by incorrect data entered by the Client's team into automated workflows
- Third-party platform outages (WhatsApp Business API, email service providers, calendar integrations)
- Communication delivery failures due to recipient-side spam filters or platform rate limits
- Changes in third-party API terms, pricing, or functionality that affect deployed automations
All automations are tested in staging environments before deployment. The Client receives a walkthrough and approves all workflow logic before go-live.
5. Billing & Commitment
SME retainers are billed on a 30-day cycle. No long-term contracts are required unless opting for prepaid commitments for bonus eligibility.
Performance ad spend (LinkedIn, Google, etc.) is billed directly to the Client's accounts by the respective advertising platforms and is not included in retainer fees.
The KPI Dashboard bonus asset is subject to minimum commitment periods: 6 months upfront for Pro, 3 months upfront for Premium, and included monthly for Elite.
Cancellation requires 7 days written notice before the next billing cycle. Service continues until the end of the current paid period.
6. Deliverables & Strategic Reviews
Each tier includes defined strategic deliverables and review cadences. The Pro tier includes monthly strategic reviews. Premium includes monthly reviews and growth consultations. Elite includes weekly strategy sessions and quarterly growth blueprints.
Deliverable baselines are defined per tier in the plan comparison. Final execution roadmaps, asset volumes, and specific implementations are dynamically scoped and tailored to the Client's brand ecosystem and market conditions.
7. Intellectual Property
All brand assets, content, design systems, website architectures, and strategic documents created during the engagement are transferred to the Client upon full payment of the corresponding billing cycle.
Innov8alpha retains rights to proprietary frameworks, methodologies, and reusable systems. These are licensed to the Client for the duration of the engagement.
8. Limitation of Liability
Innov8alpha's total aggregate liability shall not exceed the total retainer fees paid in the 3 months preceding the claim.
Innov8alpha is not liable for indirect, consequential, or incidental damages including lost business opportunities, lost revenue, or reputational impact.
9. Governing Law
These Terms are governed by Indian law. Disputes are subject to the exclusive jurisdiction of UP courts.
