Terms of Service — Web & App Development

1. Scope of Services
These Terms of Service ("Terms") govern all web and application development engagements between Innov8alpha ("Company", "we", "us") and the client ("you", "Client"). By engaging Innov8alpha for any development project, you agree to be bound by these Terms in addition to our General Terms of Service.
Development services include but are not limited to: website architecture, front-end and back-end engineering, CMS integration, e-commerce builds, mobile application development, platform migrations, and ongoing maintenance retainers.
2. Milestone-Based Delivery
All development engagements are structured around clearly defined milestones agreed upon in a written Statement of Work ("SOW"). Milestones typically follow our five-phase methodology:
- Blueprint (Architecture & Technical Scoping)
- Prototype (High-Fidelity Visual Design)
- Engineering (Production-Grade Development)
- Stress Test (Performance, QA & Security Audits)
- Deployment (Go-Live & Handover)
Each milestone requires written sign-off from the Client before the next phase begins. If a milestone is not signed off within 14 calendar days of delivery, it is deemed accepted.
3. Payment Terms
Standard engagements require a 50% advance to commence engineering, with the remaining 50% due prior to final deployment. Enterprise projects may be structured on milestone-based tranches as defined in the SOW.
Invoices are due within 7 days of issuance. Late payments beyond 14 days incur a 1.5% monthly interest charge on the outstanding balance. Innov8alpha reserves the right to pause active development on overdue accounts.
All payments are non-refundable except as explicitly stated in our Refund Policy. Refunds are only applicable for unused milestone payments if the engagement is terminated by Innov8alpha due to Client breach.
4. Code Ownership & Intellectual Property
Upon receipt of full and final payment, all custom source code, design assets, and documentation created specifically for the Client's engagement are irrevocably transferred to the Client. This includes HTML, CSS, JavaScript, and backend logic written exclusively for the project.
The following remain the exclusive intellectual property of Innov8alpha and are licensed (not transferred) to the Client:
- Proprietary frameworks, boilerplate templates, and internal libraries
- Reusable component systems and design tokens developed by Innov8alpha
- Internal automation scripts, CI/CD pipelines, and deployment tooling
- The Innov8alpha brand, name, logos, and associated trademarks
Third-party software, plugins, themes, and APIs remain subject to their respective license terms. Innov8alpha is not liable for licensing changes made by third-party vendors post-deployment.
5. Revisions & Change Requests
Each milestone includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed scope are billed at our standard hourly engineering rate.
A "revision" is defined as a modification to existing approved deliverables. A "change request" is a modification to the original scope, functionality, or architecture. Change requests require a written addendum to the SOW with revised timelines and costs.
Revision requests must be submitted in writing (email or project management tool). Verbal requests are not tracked and do not constitute binding instructions.
6. Timelines & Delays
Estimated timelines are provided in good faith based on the agreed scope. Actual delivery may vary due to scope changes, client feedback delays, or third-party dependencies.
Innov8alpha is not responsible for delays caused by:
- Client non-response or delayed feedback beyond 5 business days per milestone
- Delays in providing required assets, content, credentials, or API access
- Third-party service outages (hosting providers, payment gateways, domain registrars)
- Force majeure events as defined in our General Terms
If the Client does not respond to milestone deliveries for 30 consecutive days, Innov8alpha reserves the right to archive the project. Reactivation may be subject to additional scoping and fees.
7. Deployment & Handover
Deployment includes server configuration, SSL setup, CDN provisioning, and DNS management as specified in the SOW. The Client retains full ownership of hosting infrastructure; Innov8alpha configures but does not own the hosting environment.
Post-deployment, the Client receives comprehensive technical documentation, admin credentials, and a 30-day structural warranty covering bugs directly attributable to Innov8alpha's engineering.
The 30-day warranty does not cover issues arising from Client-side modifications, third-party plugin updates, hosting environment changes, or content edits made outside the delivered architecture.
8. Warranty & Disclaimers
Innov8alpha warrants that all deliverables will be free from material defects and will substantially conform to the approved specifications for 30 days post-deployment.
Innov8alpha does not guarantee specific business outcomes, search engine rankings, traffic volumes, or revenue generation. Performance depends on factors outside our control including market conditions, content quality, and client implementation.
THE SERVICES ARE PROVIDED "AS IS" AFTER THE WARRANTY PERIOD. INNOV8ALPHA DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Termination
Either party may terminate the engagement with 14 days written notice. Upon termination:
- Client pays for all work completed through the effective termination date
- Completed deliverables are handed over per the code ownership terms above
- Work-in-progress deliverables are provided in their current state
- Prepaid amounts are refunded pro-rata per our Refund Policy
Innov8alpha may terminate immediately if the Client breaches payment obligations, engages in abusive conduct toward team members, or uses deliverables for illegal purposes.
10. Limitation of Liability
Innov8alpha's total aggregate liability for any claim arising from a development engagement shall not exceed the total fees paid by the Client for that specific engagement.
In no event shall Innov8alpha be liable for indirect, incidental, consequential, special, or punitive damages including lost profits, lost data, business interruption, or reputational harm.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.
